Terms & Conditions of Service

WEBSITE & DIGITAL SERVICES

These Terms & Conditions apply to all current, ongoing, and future projects, including any previous quotations, proposals, or work currently in progress unless otherwise agreed in writing.

1. PROJECT ACCEPTANCE

Acceptance of a quotation, proposal, invoice payment, email confirmation, or commencement of work confirms acceptance of these Terms & Conditions.

2. PAYMENT TERMS

Website and branding projects require a 70% upfront payment prior to work commencing and the remaining 30% balance payable prior to the website going live or final files being released.

Monthly management invoices are issued on the 1st of each month and are due by the 20th of the same month.

Late payments may result in delays, suspension of services, or withholding of website publishing, files, access, or ownership transfer until outstanding balances are paid in full.

 

3. REVISIONS & SCOPE OF WORK

Website and branding projects include two (2) rounds of revisions unless otherwise stated in writing within the proposal.

Additional revisions, design requests, content updates, or changes outside the agreed project scope may be charged at an hourly rate of $120.00 +gst per hour.

A revision round refers to one consolidated list of changes submitted at one time. Multiple small requests submitted separately are treated as additional revision rounds.

4. PROJECT TIMEFRAMES

Website projects are expected to progress within a reasonable timeframe with timely communication and feedback from both parties.

If a project remains inactive, delayed, or awaiting client feedback for more than 30 days, the project may be considered paused.

If a website project extends significantly beyond the standard project timeframe due to delayed feedback, ongoing revisions, lack of communication, or postponed approvals, the developer reserves the right to:

  • set a final completion or launch date;

  • pause the project;

    • release the unpublished website in its current state; and/or

    • charge additional fees for ongoing work outside the original project scope.

5. WEBSITE LAUNCH & HANDOVER

The remaining balance must be paid prior to website launch, domain connection, transfer of ownership, or release of final files and access.

Once final approval has been provided and the website has been published, any future updates, edits, redesigns, or additional functionality will be treated as new work and will incur additional charges.

A website handover session may be included where stated within the proposal to allow the client to confidently manage ongoing text and image updates moving forward.

6. CLIENT CONTENT & RESPONSIBILITY

Clients are responsible for supplying accurate content, imagery, branding assets, legal information, and approvals required for the project.

The developer is not responsible for errors, copyright issues, trademark disputes, or legal claims relating to content supplied by the client.

7. THIRD-PARTY SERVICES

Projects may involve third-party platforms or services including but not limited to hosting providers, domain registrars, plugins, booking systems, payment gateways, Google services, Meta services, or website platforms.

The developer is not liable for outages, changes, pricing updates, suspensions, or technical issues relating to third-party services.

Any third-party subscription fees, hosting fees, plugin licences, or platform costs are the responsibility of the client unless otherwise agreed.

8. MONTHLY MANAGEMENT SERVICES

Monthly management services operate on a minimum three (3) month term unless otherwise agreed in writing.

Following the initial term, services may be cancelled with one month’s written notice.

9. LIABILITY

While reasonable care and skill will be taken throughout all projects and services, no guarantee is made regarding specific business outcomes, rankings, traffic, leads, or sales performance.

The developer will not be liable for indirect, incidental, or consequential losses arising from the use of any website, marketing campaign, platform, or digital service provided.

10. OWNERSHIP

Ownership of website files, branding assets, and completed work transfers to the client only once all outstanding invoices have been paid in full.

The developer reserves the right to withhold files, access, publishing, ownership transfer, or launch until payment obligations have been satisfied.

11. AGREEMENT

By proceeding with any quotation, proposal, invoice payment, or commencement of work, the client confirms acceptance of these Terms & Conditions.
